Terms of Sale (CGV) — Memia

In case of discrepancy, the French version shall prevail.

These Terms of Sale (the “CGV”) govern the sale by Memia (the “Seller”) of online digital services (subscriptions) and credit packs to consumers and, where applicable, non-professionals within the meaning of the French Consumer Code (the “Customer”), via the Memia website (the “Site”) and the Memia web application (the “Service”).

By purchasing a Subscription or a Credit Pack, the Customer acknowledges having read and accepted the CGV without reservation.

Article 1 — Scope

The CGV apply to any order for digital services placed on the Site, including:

The CGV prevail over any other document, subject to mandatory provisions of the French Consumer Code. The Terms of Use and the privacy policy (GDPR) also apply.

Article 2 — Description of offers

2.1. Subscriptions

Subscriptions grant access, for the duration of the subscription, to certain features of the Service and/or to a periodic allocation of credits (e.g., monthly), depending on the plan chosen.

2.2. Credit Packs

Packs allow the purchase of a volume of credits usable in the Service, notably for AI-assisted content generation features.

The essential characteristics of each offer (content, price, billing frequency, credit allocation, renewal terms) are presented on the Site and during the checkout flow. Memia reserves the right to evolve its offers. Purchased offers remain governed by the terms displayed and accepted at the time of the order.

Article 3 — Account creation and paid access

Purchasing an offer requires creating an account (the “Account”) and accepting the Terms of Use. The Customer agrees to provide accurate information and to keep their credentials confidential.

Access to paid features is enabled after payment confirmation, or according to the terms applicable to any free trial (Article 6.6).

Article 4 — Pricing and invoicing

Prices are shown including taxes in euros (EUR), unless stated otherwise. The applicable price is the one displayed at the time of the order.

An invoice and/or proof of payment may be made available in the Customer area and/or sent by email. If the VAT rate changes or a new applicable tax is introduced, prices may be adjusted in accordance with regulations.

Article 5 — Payment terms (Stripe)

Payment is made online by bank card via Stripe, a secure payment provider. Memia does not access or store the Customer’s full bank card data. Payment data are processed by Stripe in accordance with its own terms and policies.

The order is considered effective after payment is validated by Stripe.

In case of suspected fraud, Memia reserves the right to request verification elements and/or to refuse a transaction.

Article 6 — Subscriptions (renewal, cancellation)

6.1. Term

6.2. Automatic renewal

Unless canceled by the Customer, the subscription is automatically renewed at each term. The charge is processed by Stripe at renewal.

6.3. No commitment (monthly)

The monthly subscription has no fixed-term commitment: the Customer may cancel at any time under Article 6.4.

6.4. Cancellation

The Customer may cancel at any time from their user area (or via billing settings when available). Cancellation takes effect at the end of the already-paid period, unless otherwise stated during checkout.

6.5. Effects of cancellation

As of the effective cancellation date, the Customer loses access to subscription-only features and/or credit allocations linked to the subscription, subject to any free features that may remain available.

6.6. Free trial (if applicable)

Memia may offer a free trial, with or without requiring a bank card depending on the Service configuration. If the free trial requires a card, the subscription may start automatically at the end of the trial unless canceled before the end of the trial, under the terms indicated at signup.

Article 7 — Credit Packs

Credits purchased via packs can be used within the Service to access certain features (notably AI content generation), under the rules displayed in the interface. Credits are personal to the Customer and may not be assigned, resold, or transferred to a third party without Memia’s written agreement.

Unless otherwise stated in the offer, credits do not constitute electronic money, are not convertible into euros, and do not bear interest.

Article 8 — No right of withdrawal (digital content/service)

The Customer acknowledges that the offer constitutes a supply of digital content not provided on a tangible medium and/or a digital service within the meaning of the French Consumer Code.

Under Article L221-28 of the French Consumer Code, the Customer has no right of withdrawal where performance has begun after the Customer’s express prior consent and express waiver of the right of withdrawal, and confirmation by Memia of such consent and waiver.

During checkout, Memia collects the required consents where access to the digital service is provided immediately (premium activation, access to features, credit allocation, etc.).

Article 9 — Refund policy

Unless required by mandatory law or an exceptional commercial decision by Memia, purchases are non-refundable, in particular: started subscription periods are not refunded; credit packs and/or consumed credits are not refunded.

A full or partial refund may be granted only if Memia expressly agrees, on a case-by-case basis (e.g., a major and lasting malfunction attributable to Memia preventing access to the Service), without creating any acquired right.

Article 10 — Payment incidents

In case of failed payment (expired card, bank refusal, chargeback, etc.), Memia may temporarily suspend access to paid features, attempt one or more new charges via Stripe, and request an update of the payment method.

If the incident is not remedied within a reasonable time, Memia reserves the right to cancel the subscription and/or to limit access to paid features.

Article 11 — Liability

Memia is subject to an obligation of means. The Customer acknowledges that AI-generated content may contain errors or approximations, and that Memia provides no guarantee of pedagogical, academic, or professional results. Use of generated content is the Customer’s responsibility.

To the extent permitted by law, Memia shall not be liable for indirect damages (loss of opportunity, loss of business, moral damages, etc.).

In any event, and to the extent permitted by law, Memia’s total liability under the CGV is limited to the amount actually paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

Article 12 — Customer support

Memia offers customer support according to the terms indicated on the Site and/or in the application (e.g., contact form, support email). Memia aims to respond within reasonable timeframes, without guaranteeing response times.

Article 13 — Force majeure

Memia shall not be liable for delay or non-performance resulting from a force majeure event under French law. In such a case, obligations are suspended for the duration of the event, without compensation.

Article 14 — Governing law and disputes

The CGV are governed by French law. In the event of a dispute, the Customer is invited to contact Memia to seek an amicable solution.

In accordance with the French Consumer Code, a consumer Customer may use a consumer mediation service free of charge. Details may be provided upon request or via a dedicated page when available.

Failing an amicable agreement, the dispute shall be brought before the competent courts in accordance with applicable rules, notably those relating to consumer protection.
