These Terms of Use (hereinafter the “Terms”) govern access to and use of the Memia service, a web-based memorization application built around flashcards assisted by artificial intelligence (AI), accessible via the website (hereinafter the “Service”).

By creating an account, accessing the Service, or using it, the user (hereinafter the “User”) acknowledges having read and unconditionally accepted the Terms.

1. Service overview

Memia provides an online service enabling, in particular, the creation, import and organization of revision content in the form of flashcards, AI-assisted generation of learning content (questions, answers, options, hints, summaries, etc.), consultation and review through learning paths, as well as a credit system to access certain features, including credit packs and monthly/annual subscriptions.

The Service is intended for web use only (no dedicated mobile application as of the date of these Terms).

3.3. Technical access

Access to the Service requires an internet connection and compatible equipment. The corresponding costs (connection, equipment) remain the responsibility of the User.

5. AI-generated content (responsibilities and limitations)

5.1. Nature of Generated Content

Generated Content is produced automatically by AI systems. It may contain inaccuracies, errors, omissions, bias, unsuitable wording, or incomplete information.

5.2. No educational guarantee

Memia does not guarantee any learning, memorization, exam, academic or professional performance results. The Service is an assistance and revision-organization tool.

5.3. User verification

The User acknowledges that it is their responsibility to verify the relevance, accuracy and suitability of Generated Content for their objective, in particular when it relates to sensitive areas (medical, legal, financial, security, etc.).

7. Intellectual property

7.1. Memia rights

The Service, its interface, trademarks, logos, graphic elements, databases, and more generally any element composing the Service are protected by intellectual property law. Unless stated otherwise, Memia owns (or is licensed to) the related rights.

No intellectual property rights are transferred to the User. Memia grants the User a personal, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with the Terms.

7.2. User Content

The User retains rights to their User Content. By using the Service, the User grants Memia a worldwide, non-exclusive license to host, reproduce, display, adapt (format/encoding), and process such content solely to provide the Service (e.g., generation, storage, display), for the duration of use of the Service.

7.3. Generated Content

Unless mandatory law provides otherwise, Memia grants the User the right to use Generated Content for personal needs. The User remains responsible for the use, verification and, where applicable, dissemination of such content.

8. Service availability

Memia uses reasonable means to ensure access to and proper operation of the Service, without guaranteeing the absence of interruptions or errors.

The Service may be temporarily unavailable notably due to maintenance (scheduled or not), technical incidents, cyberattacks, network outages, or constraints imposed by providers (hosting, APIs, payment).

Memia may, if necessary, suspend access for security or maintenance reasons, and will inform the User where possible.

9. Suspension and termination of accounts

9.1. Suspension / termination by Memia

Memia reserves the right to suspend or terminate an Account, with or without notice depending on severity, notably in the event of a breach of the Terms, fraudulent or unlawful use, infringement of Memia’s or third parties’ rights, or a risk to the security of the Service.

9.2. Termination by the User

The User may stop using the Service and request deletion of their Account according to the options available in the Service or by contacting Memia (Section 14). Termination of a Subscription (if applicable) must be carried out according to the procedures described at the time of subscription and/or in the management area.

10. Liability and limitations

10.1. Memia liability

Memia is subject to an obligation of means. Memia shall not be liable for errors, omissions or inaccuracies in Generated Content, for the User’s use of Generated Content or the Service, for any indirect damage (loss of opportunity, loss of data not attributable to Memia, loss of business, moral harm, etc.), or for unavailability of the Service attributable to a third party (host, internet service provider, provider, etc.).

10.2. Limitation of liability

To the extent permitted by applicable law, Memia’s liability under the Terms, on all grounds combined, is limited to the total amount actually paid by the User to Memia during the twelve (12) months preceding the event giving rise to liability.

This limitation does not apply in the event of gross negligence or willful misconduct, or where prohibited by law.

10.3. Force majeure

Memia shall not be liable in the event of non-performance or delay due to a force majeure event within the meaning of French law and case law.

11. Personal data (GDPR)

Memia processes personal data in connection with operation of the Service, in accordance with the GDPR and applicable French law. Details (purposes, legal bases, retention periods, individuals’ rights, processors, transfers, security) are set out in the Privacy Policy available on the website.

12. Changes to the Terms

Memia may amend the Terms at any time, notably to comply with legal or regulatory changes, adapt the Service (features, security) or clarify provisions.

In the event of a material change, Memia will inform the User by any appropriate means and indicate the effective date. Use of the Service after the effective date of changes constitutes acceptance of the amended Terms.

13. Applicable law and competent jurisdiction

The Terms are governed by French law.

In the event of a dispute, the User is invited to contact Memia in order to seek an amicable solution. In accordance with the French Consumer Code, the consumer User may use a consumer mediator free of charge, under the conditions that will be communicated by Memia upon request or via the dedicated page of the website when available.

Failing an amicable agreement, the dispute will be brought before the competent courts in accordance with applicable rules, including those protecting consumers.

Provisions relating to payments (additional information)

Payments are handled via Stripe. Depending on the chosen offer, the User may purchase Credit packs or subscribe to a Subscription (monthly or annual), with automatic renewal until termination according to the procedures provided at the time of subscription.

Pricing terms, offer details, and billing, cancellation and renewal procedures are presented at the time of purchase in the Service interface. Memia recommends that the User keep any proof of purchase (invoice, confirmation email).

User responsibility and entered content

The user is solely responsible for the content, data, texts, topics or information that they enter, import or generate through the Service.

The user undertakes not to use the Service to create, store, distribute or process content that is:

Memia does not exercise any prior control over content entered or generated at the user’s request and shall not be held liable for such content.

Content generated by artificial intelligence

Content generated by the Service based on the user’s requests is produced automatically, on the basis of the information provided by the user.

The user acknowledges that generated content may be inaccurate, incomplete or inappropriate, and that it constitutes neither professional advice nor a guarantee of results.

The user is solely responsible for the use, verification and exploitation of generated content.

Suspension and termination

Memia reserves the right to suspend or remove access to the Service, without prior notice, in the event of use that is manifestly abusive or contrary to these Terms, notably in the event of entry of unlawful or prohibited content.

Such suspension or termination, where attributable to the user, does not give rise to any refund.
